Quick answer: Every company registered in India files two annual forms with the Ministry of Corporate Affairs (MCA) after its AGM: AOC-4 (financial statements, within 30 days of the AGM – Section 137) and MGT-7 / MGT-7A (annual return, within 60 days of the AGM – Section 92). For FY 2025-26, MCA General Circular No. 05/2026 allows AOC-4 up to 31 December 2026 and MGT-7 / MGT-7A up to 31 January 2027 without additional fees. The AGM date itself is not extended.
What is annual return filing?
Annual return filing (also called ROC annual filing) is the yearly reporting a company makes to the Registrar of Companies under the Companies Act, 2013. It tells the government who runs the company, who owns its shares, and what its finances look like at the end of the financial year. Even a company with no business during the year has to file.
Annual forms and due dates – FY 2025-26
| Form | Purpose | Normal due date | FY 2025-26 (GC 05/2026) |
|---|---|---|---|
| AGM | Adopt accounts, appoint/ratify auditor | Within 6 months of year end – 30 September (Section 96) | Not extended |
| ADT-1 | Auditor appointment intimation | Within 15 days of the AGM (Section 139) | Not covered by the circular |
| AOC-4 / AOC-4 (CFS) / AOC-4 XBRL | Balance sheet, P&L, directors’ and auditor’s report | Within 30 days of the AGM (Section 137) | 31 December 2026 |
